Important Notice

PLEASE READ THESE TERMS CAREFULLY BEFORE USING DAYPRISM.

By downloading, installing, or using DayPrism, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Software.

DayPrism is beta software provided "AS IS" without warranties. See Section 8 for important disclaimers and Section 9 for limitation of liability.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SG Block LLC, a California limited liability company ("Company," "we," "us," or "our"), governing your use of the DayPrism software application ("Software" or "Application").

By downloading, installing, copying, or otherwise using the Software, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

2. License Grant

2.1 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Software on macOS devices that you own or control, solely for your personal, non-commercial purposes.

  • The Software may malfunction, crash, or produce incorrect results
  • Features may be added, changed, or removed without notice
  • The Software may not function as described in documentation or marketing materials
  • Data processed by the Software may be corrupted, lost, or inaccurately processed
  • We provide no guarantee of support, updates, or bug fixes

By using DayPrism, you accept these risks and agree that the Company shall not be liable for any consequences arising from the beta nature of the Software.

4. User Responsibilities

4.1 System Requirements

You are responsible for ensuring your device meets the minimum system requirements (macOS 12 or later) and for maintaining your device's security, including keeping your operating system updated.

DayPrism requires you to provide your own API keys for third-party services (Anthropic, Google). You are solely responsible for:

6. Intellectual Property

The Software, including its code, design, features, and documentation, is owned by SG Block LLC and is protected by copyright, trademark, and other intellectual property laws. These Terms grant you no ownership rights in the Software.

6.2 Your Content

You retain all ownership rights to your personal data processed by the Software. We claim no rights to your emails, messages, calendar events, or other personal information.

6.3 Feedback

If you provide feedback, suggestions, or ideas regarding the Software, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback into the Software without compensation or attribution.

"DayPrism" and the DayPrism logo are trademarks of SG Block LLC. You may not use these trademarks without our prior written permission.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SG BLOCK LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE
  • WARRANTIES THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS
  • WARRANTIES THAT THE SOFTWARE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • WARRANTIES THAT DEFECTS WILL BE CORRECTED
  • WARRANTIES THAT THE SOFTWARE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY RESULTS, CONTENT, OR DATA

AI-GENERATED CONTENT: Briefings, summaries, and other outputs generated by the Software may contain errors, inaccuracies, fabricated information, or inappropriate content. You should independently verify any information before relying on it for decisions.

DATA PROCESSING: Due to the beta nature of the Software, data may be lost, corrupted, or incorrectly processed. You should maintain independent backups of any important data.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

9.1 NO LIABILITY FOR DAMAGES

IN NO EVENT SHALL SG BLOCK LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SOFTWARE
  • DAMAGES ARISING FROM ANY CONDUCT OR CONTENT OF THIRD PARTIES
  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR DATA
  • DAMAGES ARISING FROM AI-GENERATED CONTENT OR DECISIONS BASED THEREON
  • DAMAGES ARISING FROM THIRD-PARTY SERVICE FAILURES OR CHANGES

REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.2 MAXIMUM LIABILITY

IN ANY CASE, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SOFTWARE SHALL NOT EXCEED THE GREATER OF: (A) FIFTY DOLLARS ($50.00 USD), OR (B) THE AMOUNT YOU PAID US FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9.3 ESSENTIAL PURPOSE

THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

You agree to indemnify, defend, and hold harmless SG Block LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

You may terminate this license at any time by uninstalling the Software and deleting all copies from your devices.

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

12.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California, for any disputes arising from these Terms or the Software.

12.3 Informal Resolution

Before filing any formal legal action, you agree to first contact us at legal@dayprism.com and attempt to resolve the dispute informally for at least thirty (30) days.

12.4 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND SG BLOCK LLC AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

13. General Provisions

13.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and SG Block LLC regarding the Software and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

13.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

13.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

13.5 Notices

We may provide notices to you by posting on the DayPrism website or through the Software. You may provide notices to us at legal@dayprism.com.

13.6 Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated through the DayPrism website or Software release notes. Your continued use of the Software after changes take effect constitutes acceptance of the modified Terms.

13.7 Export Compliance

You agree to comply with all applicable export control laws and regulations, including U.S. Export Administration Regulations.

13.8 Government End Users

If you are a U.S. Government end user, the Software is a "Commercial Item" as defined in 48 C.F.R. §2.101, and is licensed under these Terms only.
